Ambrosoli International School is owned by the shareholders of Ambrosoli Limited, a limited company started in 2003. The shareholders are parents of children who attended or are presently attending the school. The school currently has 14 shareholders Any parent is eligible to buy shares and to become a shareholder. Application for shares is made in writing to the Board of Trustees. When shares become available, they are distributed equally amongst the applicants with any remaining shares being given to applicants on a ‘first come, first serve basis'. The sale and allocation of shares is governed by the AMIS Limited Articles of Association (a copy of which is available from the School Administrator) Ambrosoli is organised according to the classic three levels of management (usually referred to as a three tier structure). The reorganisation of the structure was affected during the 2006/2007 school year in a bid to adapt to the dynamics brought about by natural growth of the school in the past recent years. At the same time there was an increasing need to separate roles and responsibilities between shareholders and school board functions, and maintain a sound system of check and balances within the school management processes. The BoT represents the first level. The Ambrosoli Limited Board of Trustees The members of the Board of Trustees are selected from the Shareholders. Currently the BoT consist of 4 Members. Mr Erik Van Veen (Chair), Mr Cam Mc Clay (Treasurer), Mr Andrea Mandelli and Mr Abel Katehoire The Role of the Ambrosoli Limited Board of Trustees is to safe-guard the School Mission and Vision, govern and manage the School. It is very important to emphasise that all matters pertaining to the management and governance of the school in terms of education, curriculum and the management of the school itself (defined as “Normal School Operations”) are afforded to the Ambrosoli Board of Governors and are not in the ambit of the Trustees supervisory duties. The BoT focuses on protecting the financial and legal sustainability of the school. Therefore it involves itself in matters regarding budgets, investment, legal issues and governance aspects in appointment / ratification of board members and senior management. The BoG represents the second level. The Ambrosoli School Board of Governors The Board of Governors consists of not less than 6 and no more than 9 members. Members nominated are among the Shareholder (at least one), the Head teacher, a parents' representative, nominated by the school's parents, a teachers' representative, nominated by the teachers and administration staff and at least two members nominated by the Trustees. Currently the BoG composition is as follows. Mr. Andrea Mandelli (Chair), the Head teacher, Mrs. Briony Ewing, Dr. Mrs. Margret Steixner (Parents Representative), Miss. Nicole Adams (Teacher Representative), Mrs. Kimberly Burns Case (BoT Nominee), Mr. Tony Powell (BoT Nominee), Mrs. Jane Owiny (BoT Nominee), Ms Jacqueline Joubert (BoT Nominee) The Role of the Ambrosoli School Board of Governors is to exercise functions with a view to raising standards of education in the school. It supports the endeavours of school management to improve the quality of education and provide a framework of governance that ensures the school is managed in a sustainable and effective manner. It translates the Mission and Vision into a long term Strategic Plan and into a short-term implementation plan with policies and operational plans. The third level is represented by the School Management. The Ambrosoli School Management “Team” Ambrosoli is run by the School Management consisting of the Head teacher, Administrator, Primary Manager and Early Years Manager. The Management reports directly to the Board of Governors. The role of the School Management is to carry on the daily “normal school operation” assuring daily running of services and activities. It assures the implementation of the policies and plans thought the use of the available resources with maximum efficiency and quality standards. In the past year most of the efforts have been concentrated towards updating and validating the schools policies, their implementation through establishment of guidelines and procedures. Surveys were conducted and results analysed to draw meaningful messages to inform decisions. Another on going major effort concerns the preparation of the Strategic and Implementation plan, which builds on the premise of the Ambrosoli Mission and Vision. This has been made possible thanks to the efforts and contributions from the management team and the parents' community, and thought the work of the PTA. We encourage all to take part to this process and continue proving us with valuable contribution to help us improve the quality of Ambrosoli education. |
